Typically, for owner-operators of private companies in the middle market, the sale of all or part of a business occurs infrequently. A transaction may be the culmination of years, a lifetime, even generations of dedication and hard work.  For the inexperienced seller, embarking on this journey can be daunting – the process is full of possibility and excitement but fraught with risks and frustrations.  Sellers often report great surprise at the volume of work involved in selling a business and the level of distraction from day to day operations it brings.

​Yet, it is more common than not for sellers to enter into a sale process with minimal forward planning and preparation and often with little professional expertise in their corners, beyond perhaps the company accountant and lawyer. Often this occurs in response to an unsolicited approach. Studies bear this out. Not surprisingly, a significant majority of sellers surveyed who’ve entered a process unprepared and under-advised report disappointing results. 
Would you venture into an unfamiliar wilderness alone?  In some ways, the “go it alone” approach to selling a business is analogous to embarking for the first time on a highly technical mountain ascent or a demanding backcountry wilderness trek with no preparation and without a guide. For a moment, imagine yourself preparing for such a trip. In all likelihood, you’d spend considerable time and effort learning, training and preparing, possibly years in advance of the trip. You’d probably hire an expert guide - the right guide – someone who’ll get to know you – your strengths and how best to leverage them - your limitations and how best to overcome them, someone familiar with the new and hostile terrain ahead with all of its pitfalls, someone who’s been on the journey before and knows how to prepare, someone who can help bear the burdens of the trip.

For Large Companies, Private Equity Sponsors and Investors 

Whether you staff an “army” of skilled dealmakers and analysts or perhaps run a more modest corporate M&A function, we can help to keep your precious deal making resources productive by allowing your team to focus their efforts on critical growth-related activity and away from the day to day distraction of smaller divestitures and similar portfolio actions. 

Our team is highly experienced in the divestiture of both attractive, performing businesses and non-core and non-performing assets. We bring deep experience with complex, and challenging disposals, including carve-outs and significant asset sales in the context of corporate portfolio re-alignments and restructurings.  

Carve-outs are hard work and rarely are straightforward.  The complexities are numerous: allocation of overhead costs, debts and other liabilities; transition services; sensitivities relating to ongoing customer, supplier and other relationships; allocation of human capital and related impacts; and all too often internal political crosscurrents.  These deals are generally more involved than a typical auction process, with structuring, valuation and negotiations requiring great attention to detail from initiation through closing. 

When contemplating the sale of such assets - especially where internal resources would be better utilized elsewhere and engagement of a larger investment bank may not be economical or viable - we can provide attractive solutions.
